## Expansion into South Africa
ADNOC Distribution has announced plans to acquire Shell Downstream South Africa in a deal valued at approximately $1 billion. This acquisition will significantly expand ADNOC's presence in Africa, adding 580 service stations and 360 convenience stores to its portfolio.
## Strategic Growth
The acquisition includes Shell's retail, wholesale, aviation, and lubricants businesses in South Africa. This move positions ADNOC as the third-largest fuel retailer in the country by number of service stations. The transaction is expected to be finalized in 2027, pending regulatory approvals.
## Continued Shell Branding
Despite the acquisition, the Shell brand will remain visible at service stations and in lubricants, as ADNOC plans to enter a long-term brand licensing agreement. This ensures continuity for customers who are familiar with the Shell experience.
## Local Partnership and Economic Impact
ADNOC Distribution intends to sell a 28% stake in the business to a local partner, aligning with South Africa's economic priorities such as energy security and job creation. This partnership is expected to be closely monitored by regulators and investors.
## Financial Benefits
The deal is projected to increase ADNOC's earnings per share by 6% in the first year after completion. It is also expected to generate a return above ADNOC's hurdle rate, providing immediate value to shareholders and supporting potential dividend increases.
## Broader International Strategy
This acquisition is part of ADNOC Distribution's broader strategy to expand its international retail footprint, following its entry into the Egyptian market. The move strengthens ADNOC's position in the mobility and convenience retail sectors, which are increasingly important for fuel retailers.
