## Strategic Acquisition

Metra Group and GoldCoin Labs Limited have joined forces with ATIF Holdings Limited, a Nasdaq-listed company, marking a significant milestone in digital gold finance. The acquisition of GoldCoin Labs by ATIF, completed on September 9, 2026, was celebrated with a bell-ringing event at Nasdaq MarketSite. This $20 million all-share transaction was unanimously approved by the board.

## Innovative Gold Token

GoldCoin Labs is developing Metra Gold (GOLDM), a digital token representing physical gold. Each token corresponds to one gram of fine gold, adhering to London Bullion Market Association standards, and is backed by physical gold. The business model includes token issuance, redemption, and blockchain-based transfer.

## UAE's Role in Gold Finance

The UAE is positioned as a central hub for gold supply-chain finance and global trade. The region's strategic importance in gold trading, refining, and logistics supports Metra's vision of integrating gold with digital finance and trade settlement.

## ATIF's Expansion

For ATIF, this acquisition aligns with its strategy to explore digital-asset businesses, diversifying its portfolio and expanding revenue opportunities. The move is expected to enhance ATIF's presence in the tokenized real-world asset sector, building on its initiatives since June 2025.
